Welcome to Rolla — the modern platform that empowers sellers to offer products, services, and time-based bookings to buyers anywhere in the world. Please read these Terms of Service ("Terms") carefully. By accessing or using any part of the Rolla website, checkout, APIs or related services (collectively, the "Service") you agree to be bound by these Terms and to our Privacy Policy. If you do not agree, you must not access or use the Service.

1. Definitions

"Buyer" means an individual or entity that purchases or otherwise acquires goods or services from a Seller through the Service. "Seller" means an individual or entity that lists, advertises, or provides goods or services through the Service. "Content" means any text, images, data, video, audio, or other material uploaded, submitted, or transmitted via the Service.

2. Eligibility & Account Registration

You must be at least 18 years old and able to form a legally binding contract under applicable law to register an account or use the Service. When you create an account you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Fees & Payments

Rolla charges transaction and/or subscription fees as reflected in your dashboard or in a separate written agreement. Unless stated otherwise, all fees are exclusive of any applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of such taxes.

4. Seller Responsibilities

Sellers are solely responsible for (i) the accuracy, quality, and legality of their Content, (ii) fulfilment of orders, delivery of services, and customer support, and (iii) compliance with all applicable laws and regulations, including consumer-protection, tax, data-protection, export control, and sanctions laws.

5. Prohibited Activities

You agree that you will not: (a) use the Service for any illegal purpose or in violation of any law; (b) infringe or misappropriate the intellectual property rights of others; (c) transmit viruses, malware, or other harmful code; (d) engage in deceptive, fraudulent, or misleading conduct; (e) attempt to gain unauthorized access to other accounts or the Service's underlying systems.

6. Intellectual Property

The Service and all related intellectual property are and will remain the exclusive property of Rolla and its licensors. Subject to your compliance with these Terms, Rolla grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose. Nothing in these Terms grants you any right to use the Rolla name, logos, or trademarks without our prior written consent.

7. Third-Party Services & Integrations

The Service may provide links to, or integrations with, third-party websites, applications, or services. Rolla does not endorse and is not responsible for such third-party services. Your use of third-party services is at your own risk and subject to their separate terms.

8. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. Rolla specifically disclaims any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. Rolla does not guarantee that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, Rolla and its officers, employees, agents, and affiliates will not be liable for (a) any indirect, incidental, special, consequential, or punitive damages, or (b) any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service or these Terms, even if Rolla has been advised of the possibility of such damages. Our aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of (i) the fees you paid to Rolla during the 12 months prior to the event giving rise to liability or (ii) one hundred US dollars (USD 100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Rolla and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from (a) your use of or access to the Service, (b) your violation of these Terms, or (c) your Content.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, all provisions of these Terms which by their nature should survive will remain in effect, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them will be governed by the laws of the State of California, United States, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you and Rolla consent to personal jurisdiction and venue in such courts.

13. Changes to the Service & Terms

We may modify or discontinue the Service (or any part thereof) at any time. We may also modify these Terms at any time by posting a revised version on our website. The revised version will become effective once posted. Your continued use of the Service after the effective date constitutes your acceptance of the modifications.

14. Miscellaneous

These Terms constitute the entire agreement between you and Rolla with respect to the Service and supersede any prior agreements or understandings. If any provision of these Terms is held invalid, the remaining provisions will remain in full force. Our failure to enforce any right or provision will not be considered a waiver. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign our rights without restriction.
